
	TERMS OF SALE
Terms:	1% 10, net 30 days from date of Ritrama Invoice. Ritrama reserves the right to charge interest on all bills not paid at maturity.
Minimum Order Value:	$250.00 standard product orders, $500.00 typical custom product orders. (Note: Minimums on custom orders will be confirmed prior to order being placed.) Full cartons only when applicable.
Prices:	Unless otherwise indicated on Ritrama's acknowledgement and/or invoice, in accordance with industry practice. Ritrama reserves the right to ship and invoice plus or minus ten percent (+/- 10%) of the total quantity of each product ordered by Customer hereunder on standard materials.
Order Entry Procedure:	All orders will be billed at prices in effect on the date ordered. All prices subject to change without notice.
Acceptance:	All orders are subject to acceptance by Ritrama, Inc. These standard Terms, & Conditions of Sale, together with information contained in Ritrama's written product order acknowledgement and/or invoice (and any additions or revisions mutually agreed to in writing by Ritrama and the Customer), shall constitute the entire agreement and understanding of Ritrama and Customer with respect to the purchase and sale of Ritrama's products, superseding all prior oral or written understandings relating thereto. If Customer's order contains provisions inconsistent with the provisions hereof, these terms and conditions shall prevail. Customer's acceptance of delivery of or payment for any products provided hereunder shall constitute Customer's acceptance of all terms and conditions herein.
Taxes:	All prices are subject to federal, state and local taxes applicable to the sale of products listed herein. The tax will be added to the invoice and paid by the Customer unless Customer provides Ritrama with a valid exemption certificate acceptable to the appropriate taxing authority.
Freight/Shipment:	F.O.B. Minneapolis, Minnesota. Freight terms determined at time of sale. Items shipped best way within the United States. Unless otherwise mutually agreed in writing, shipment shall be F.O.B. Minneapolis, Minnesota. Title and risk of loss pass from Seller to Buyer upon delivery to a carrier.

	Custom orders are considered complete when +/- 10% of the original order has been shipped. Sheets sizes under 13-1/2" x 20" or over 27" x 38" require special quotation. Slitting: 3" minimum cut.
Broken Cartons:	25% charge on all broken cartons.
Custom Pallets:	$90 will be charged for each custom pallet produced.
Samples:	Samples available upon request. Please contact your Customer Service Representative or your Sales Representative.
Cancellations:	Purchase orders can only be cancelled with written approval and signed agreement with Ritrama and Customer prior to manufacturing.
Force Majeure:	Ritrama shall not be liable for any loss, damage, delays, changes in shipment schedules or failure to deliver caused by accident, fires, strikes, riots, civil commotion, insurrection, war, the elements, embargoes, failure of carriers, inability to obtain transportation facilities, government, requirements, acts of God or public enemy, prior orders from Customer's production or marketing activity or any other causes or contingencies beyond Ritrama's control. We shall in no event be liable for any consequential damages.
Return Policy:	Products may only be returned with Ritrama's written consent. Before returning any product, Customer must obtain a Return Material Authorization (RMA) from a Ritrama Customer Service Representative. Customer is responsible to properly package returned goods to avoid damage during shipping. Products returned without Ritrama's prior written authorization will be refused. Customer must note any shortage or damage on the delivery receipt with carrier at the time of delivery.
Disclaimer of Warranties and Limitations of Liability:	Ritrama makes no warranties, expressed or implied, as to the goods and, in particular, makes no warranties of merchantability or of fitness for any particular purpose, and Customer is solely responsible for determining the proper application and use of the goods. All information contained in this Solution Guide is either based on research and testing believed to be reliable or our experience, but does not constitute a warranty. The purchaser to determine suitability of the product for their purposes should test all material. It is the responsibility of the Customer to independently pretest this material for product performance, process capability, and end-use suitability.
